The Board

The Board is responsible for the overall governance strategic oversight and long-term sustainability of the Club. It ensures that the Club operates in a manner consistent with its values, ethical standards, regulatory requirements and the expectations of its supporters and other stakeholders.

The Board is the ultimate decision-making authority of the Club and exercises all powers necessary to lead and oversee the Club effectively, subject only to matters reserved to shareholders by law or by the Articles of Association. It provides oversight of the SLG and ExCo, which are tasked with achieving the Club’s objectives and efficiently managing its daily operations.

Board Composition

The Club has an elected Board of directors. The composition of the Board may change from time to time but shall consist of a blend of non-executive directors, executive directors and independent non-executive directors from a range of diverse backgrounds and with diverse experiences. Where the Club looks to appoint new directors, it ensures that the processes for candidate selection, shortlisting, interview and appointments are fair, transparent and designed to prevent disadvantaging candidates from diverse backgrounds.

The Board of directors have a responsibility to contribute their skills, expertise, time and effort for the benefit of the Club and its continued success. While dedicating their time to Club activities, the Board shall always act with the Club’s best interests at heart, and always in accordance with the Club’s values.

Duties and Responsibilities Reserved for the Board

The Board retains ultimate responsibility for the stewardship and long-term sustainability of the Club. Certain matters are reserved exclusively for the decision of the Board and may not be delegated.

Strategy & Oversight

Setting the Club’s vision, mission, and long-term
strategy; approving annual budgets and business plans; monitoring
performance against objectives.


Risk Management

Identifying and managing key risks to the Club, including financial, operational, reputational, and regulatory risks. Regularly review the Club’s risk register which sets out the main risks faced by the Club. The Board shall establish, approve and periodically review the Club’s risk appetite, defining the nature and extent of risk the Club is willing to accept in pursuit of its strategic objectives.


Governance & Compliance

Ensuring compliance with all applicable laws, regulations, and codes of practice, including the Premier League and FA rules. Have in place a set of clear corporate governance policies and procedures that define decision-making authority, establish lines of accountability and support effective oversight.


Financial Stewardship

Approving annual accounts, major capital expenditures, and significant contracts; ensuring the integrity of financial reporting, including monitoring of financial risk and financial resilience.


Board Appointments, Composition and Succession

Appointing and removing directors of the Club; overseeing succession planning for key roles.


Stakeholder Engagement

Maintaining effective communication with shareholders, regulators and key stakeholders, including supporters, employees and local community partners.


Ethics and Values

Upholding the Club’s values and promoting a culture of integrity, equality, diversity, and inclusion across all activities. The Board retains ultimate responsibility for equality, diversity and inclusion and progress in this space is reviewed periodically at Board level.
